Constitution

1.
NAME AND AIMS

1.1.
The Association shall be known by the name of "Cheshire Local History Association", hereinafter called the Association.

1.2.
The aims of the Association shall be to promote the study of, and interest in, local history within the County Palatine of Chester.

2.
MEMBERSHIP

2.1.
Membership of the Association shall be open to all individuals, societies and other bodies that are in accord with the aims of the Association as expressed in Paragraph 1.2.

2.2.
Questions concerning eligibility and continuance of membership shall be determined by the Executive Committee, whose decision will be put before the next Annual General Meeting. Until such time, the Committee's decision will be binding.

3.
MANAGEMENT

3.1.
An Annual General Meeting of the Association shall be held in accordance with Paragraph 4.3.

3.2.
At such meeting, a Chairman, Vice-Chairman, Honorary Secretary, Honorary Minutes Secretary, Honorary Treasurer, Honorary Editor, and three ordinary members shall be elected, and these shall form the Executive Committee.

3.3.
In addition, a representative of Cheshire County Council Libraries and Archives and the immediate past Chairman shall be ex-officio members of the Executive Committee.

3.4.
The two ordinary members of the Executive Committee shall be elected each year at the Annual General Meeting by the delegates and ordinary members of the Association. The Chairman and Vice-Chairman shall serve for a maximum of three consecutive years in their respective posts. Each shall be eligible for re-election to the same office (after an interval of twelve months) at a subsequent Annual General Meeting.

3.5.
The management of the Association shall be vested in the Executive Committee. For the purposes of transaction of business, the attendance of five members of the Executive Committee shall constitute a quorum.

3.6.
The Executive Committee shall have the power to co-opt members of the Association to the Committee as thought necessary.

3.7.
The Chairman shall have a casting vote.

3.8.
The term of office of all elected officers of the Association shall expire at the end of the Annual General Meeting, at which time the newly elected officers shall take up their duties.

4.
MEETINGS

4.1.
The Association shall normally meet four times a year, one of which meetings shall be the Annual General Meeting.

4.2.
For the purposes of the Annual General Meeting, at least six weeks' notice in writing shall be given; the agenda shall be distributed to members at least fourteen days before the meeting.

4.3.
For the purposes of transacting business at an Annual General Meeting, the attendance of ten members of the Association, of whom at least eight shall be delegates of societies in membership, shall. constitute a quorum.

4.4.
Not more than fourteen months shall elapse between one Annual General Meeting and the next; the Annual General Meeting shall be held at such time and place as the Executive Committee shall resolve.

4.5.
Extraordinary General Meetings of the Association may be called by the Executive Committee; the Committee shall be obliged to do if requested by at least five members of the Association, of whom at least four are delegates of societies in membership. Notice of, and the agenda for, such meetings must be distributed to members at least fourteen days beforehand.

5.
FINANCE

5.1.
The expenses of the Association in carrying out its aims shall be met by the membership. To this end, subscriptions shall be determined from time to time, either by the Annual General Meeting of the Association or by an Extraordinary General Meeting convened for that purpose.

5.2.
The accounts of the Association shall be examined annually by a responsible person appointed for this purpose at the Annual General Meeting. The Honorary Treasurer shall present a balance sheet and statement of accounts for the year ending 31 March at the Annual General Meeting.

5.3.
Copies of the balance sheet and statement of accounts shall be available at the Annual General Meeting.

5.4.
Members whose subscriptions fall into arrears may be removed from membership at the discretion of the Executive Committee.

6.
ALTERATION OF THE CONSTITUTION

6.1.
The Constitution of the Association can be altered in whole or in part only by the Annual General Meeting or by an Extraordinary General Meeting convened for that purpose. Notice of such a meeting must refer to the proposed amendment(s), the text of which must be included in the agenda.
